COMMISSION AGREEMENT

本佣金协议书于2007年10月 日在中国上海由双方在平等互利基础上达成，按双方同意的下列条件发展业务关系：

Add: Tel: Fax: 2. 委任 Appointment

甲方指定乙方为其在中国的全权采购代理，采购甲方指定的合法产品。

The Party A appoints the Party B as its Exclusive Purchasing Agency in China, purchasing the goods as Part A refers. 3. 双方的职责 Duties of two parties:

(1) 甲方所需的采购业务应提交给乙方详细的询价单，比如材质、尺寸、数量、品质等具体要求，乙方须在7天内提供产品报价单给甲方(若遇特殊情况和不可抗拒力因素除外)。 (2) 甲方直接下订单给乙方，由乙方全权负责从接单到出货服务。包括寻找甲方需要的样品以及物品，为甲方取样、验货、出货等事宜。

(3) 乙方应保证所采购产品的合法性以及保证产品符合订单的要求。 4. 货款的支付方式

甲方正式下单给乙方后，须在两个工作日内支付采购总额的---%定金给乙方以备采购，交货时，乙方须提供有效提单给甲方，甲方在两个工作日内支付余下的货款给乙方，货款须汇入乙方指定银行。

5. 佣金的计算、给付方式、给付时间： COMMISSION 甲方同意按照每笔采购发票总金额的------%支付佣金给乙方，在出货后的??天内汇入乙方指定银行。

For the Purchasing Agent's services, the Party A shall pay the Party B the following commission percentage within ?? days : ________ % of Part B’s each purchasing aggregate amount of the invoice value against the shipments effected. Commission should be remitted to Party B’s referring bank. 6. 费用

以下费用由甲方承担

EXPENSES: As part of the compensation to the Party B, the Party B shall also be reimbursed for the following expenses:

(1) 甲方若不按本合同第5条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。 8. 协议的修改 Modification

此协议书只有经双方共同签字后才能作修改，
