摘 要： 在中国的资本市场条件下，需要放开对上市公司股票回购业务的限制。但是，更为重要的事情是，制定一个完善的制度框架，以规范上市公司的股票回购问题，从而发挥股票回购的积极作用，限制其消极作用。在中国的制度约束下，实施股票回购仍然存在许多问题和障碍，没有充分发挥股票回购的经济功能。本文将选取云南云天化股份有限公司作为分析对象，详尽分析云天化进行股票回购的操作及动机，以及给其他公司带来的启示。 关键词： 股份回购；动机理论；上司公司

Abstract： In China's capital market conditions, shares of listed companies need to let go of repurchase restrictions. But, more important thing is to develop a comprehensive institutional framework to regulate listed companies issue stock repurchases, and thus play an active role in the stock buyback to limit their negative effects. Constraints in the Chinese system, the stock repurchase are still many problems and obstacles, not fully the economic function of stock repurchases. This article will choose Yunnan yuntianhua listed company as the analysis object, and detailed analysis the company operation of the stock repurchase and motivation, and enlightenment to other company.
