总代理协议书

Article 1/第1章 General Principles/总则

THIS AGREEMENT dated the _____ day of _____ is made BETWEEN: RAINBOW CO., LTD., a company incorporated under the laws of _____, and having its registered address at _____ (hereinafter called the “Principal”); and FLORIST COMPANY LIMITED, a company incorporated under the laws of _____, and having its registered office at _____ (hereinafter called the “General Agent”).

此协议是在_____年_____月_____日在“彩虹有限公司”，一个在_____法律下注册的公司，注册地址在_____（此后称为“委托人”）；和FLORIST有限公司，一个在____法律下注册的公司，注册地址为_____（此后称为“总代理”），之间签署的。

WHEREAS:

The Pincipal is desirous of acquiring from CAN-ADVANCE CO., LTD.,

(hereinafter called the “Seller”) the IFT technology (hereinafter called the “IFT Technology”).

The Principal and the General Agent have agreed that the General Agent shall be appointed as the Principal’s sole exclusive Agent to negotiate, on behalf of the Principal, with the Seller the price and other terms and conditions for, and all other matters connected with, the acquisition of the technology by the Principal, subject to the terms and upon the conditions hereinafter set forth. 委托人想要从CAN-ADVANCE有限公司（此后称为“卖方”）那里获得IFT技术（此后称为“IFT技术”）。委托人和总代理已经同意总代理将被任命为委托人的独家代理，代表委托人，来和卖方协商价格和其它条款，及其它 委托人在获得技术方面的事宜，以以下所约定的条款为准。 现在双方约定如下：

Article 2/第2章 Definitions/定义

2.1 In this Agreement, the following words or expressions shall have the meanings given to them respectively below: 在此协议中，以下词汇或短语应分别有以下的意义：

“Commission” means the commission payable by the Principal to the General Agent pursuant to Article 6.1 subject to the terms and conditions of this Agreeemnt.

“佣金”意思是根据此协议的第6.1章，委托人给总代理所支付的佣金。

“Licence Agreement” means the Technology Transfer or Licence Agreement to be entered into between the Principal and the Seller, together with all addenda, amendments and supplements made thereto from time to time and at any time, setting out the Price and other terms and conditions for the sale and transfer by the Seller of the Technology to, and the acquisition of the same by, the Principal.

“许可协议”意思是在委托人和卖方之间所达成的技术转让或许可协议，包括为了设定销售价格和其它条款，和卖方的技术转让，和由委托人获得同样的技术所进行的不时的、在任何时候所有的补遗，补充和增加。

“Piece” means the aggregate amount of the purchase price payable by the Principal to the Seller for the acquisition of the Technology, which amount shall also include all licence fees and royalties and other payments of

whatsoever nature payable to the Seller by the Principal in consideration of or in connection with the transfer of the Technology to the Principal.

“价格”意味着委托人为获得技术所付给卖方的总的购买价格，此价格还应包括所有委托方考虑到或和转让给委托方的技术有关的的所有许可费用和版税以及其它性质的付给卖方的费用。

2.2 Clause headings are inserted for convenience of reference only and shall be ignored in the interpretation of this Agreement.

条款的标题的插入只是为了参考需要，在解释此协议时应被忽略。

Article 3/第3章 General Agency/总代理

3.1 The Principal hereby appoints the General Agent, and the General Agent hereby accepts appointment, as the Principal’s sole exclusive General Agent to negotiate, on behalf of the Principal, with the Seller, the Price and all other terms and conditions of the Licence Agreement and otherwise to act

generallly on behalf of the Principal in all respects relating to, and to attend to all maters whatsoever connected with, the acquistiion of the Technology by the Principal.

委托方在此任命总代理，并且总代理在此接受任命，作为委托方的独家总代理，代表委托方和卖方进行许可协议的价格和所有其它条款的谈判，并且也总体作为委托方在所有委托方所要获得的技术方面处理和关注所有的有关事宜。 10：53/11:09

3.2 The Principal shall not, during the period of this agreement, appoint any other person or persons as Agent of the Principal to negotiate the Price or the terms and conditions of the Licence Agreement or otherwise to act in any respect on behalf of the Principal relating to, or to attend to any matter whatsoever connected with, the acquisition of the Technology by the Principal. 委托方在此协议期间，不得任命任何其它人或人们作为委托方的代理来代表委托方协商有关许可协议的条款或以任何方式来关注和委托方获得技术的任何事宜有关的事情。

3.3 The appointment of the General Agent hereunder as the sole exclusive Agent of the Principal for the negotiation of the Licence Agreeement and the acquisition by the Principal of the Technology shall be deemed, for all purposes, to have become effective as from the date of this Agreement, and shall remain effective until the date when the Price and all other terms and conditions for the acquisition of the Technology by the Principal from the
