吴某系上海某大学教师，1988年辞去工作到日本留学。1990年在即将回国前夕，吴某在日本大阪市骑自行车上班途中被急驶而来的小轿车撞到，经抢救无效，不幸身亡。消息传到上海，其在上海工作的妻子周某以全权代理人的身份，由吴某的大哥陪同，东渡日本，料理后事。吴某之妻周某委托日本律师与肇事方洽谈赔偿事宜。经双方的努力，达成赔偿协议。按照协议，周某获得以下赔偿：（1）“逸失利益”，即假定吴某健在，从死亡时至退休时止，可以获得的经济收入。（2）“精神损害赔偿费”。即对受害人的父母、子女、配偶在精神上的损失所进行的赔偿。（3）对自行车的损害进行的赔偿。此外，吴某在日本曾投保了人身保险，为此日本保险公司支付了500万日元的保险金。周某与吴某的大哥带着赔偿金何保险金共计人民币70余万元回到上海。

对于周某从日本带回的赔偿金何保险金应如何分配，吴某的父母及兄弟姐妹与吴某的妻子周某发生争执，无法解决。为避免引起冲突，吴某的父母及兄弟姐妹（以下简称吴方）以吴某之妻周某及女儿（6岁）为被告，起诉于法院。

In the conflict of laws it is even more necessary that the doctrine of public policy should be kept within proper limits,otherwise the whole basic of the system is liable to be frustrated.The courts are not free to refuse to enforce a foreign right at the pleasure of the judges,to suit the individual notion of the expendiency or fairness.They do not close their doors unless help would violate some fundamental principle of justice,some prevalent conception of good morals,some deep-rooted tradition of the common weal.Thedoctrine of public policy has assumed far less prominence in the English conflict of laws than have corresponding doctrines in the laws of some continental European countries.

Traditional “vested rights” Approach

The “vested rights” approach to choice of law directs the forum in every case to apply the law of the state in which the rights of the parties vest.Rights are deemed to “vest” in the place where they are “created”-i.e. the state in which the particular act occurred or particular relationship was created.The law of that state governs all substantive issues in the case,wherever suit is brought.In a tort action,for example,the rights and liabilities of he parties “vest” in the jurisdictionwhere plaintiff’s injury occurred,and the law of that state would be applied by all other jurisdictions. This approach involves a two-step analysis:

(a) Characterization:The forum court must first “characterize” the lawsuit into a “basic” legal

category –e.g.,torts,contracts,property.

(b) Localizing the connecting factor:The “vest rights” approach then directs the forum court

to localize the significant event or thing (the connecting factor) in a particular jurisdiction and apply the law of that state. For instance , the choice-of-law rule for torts provides that the law of the place of wrong governs; the “place of wrong” in turn is defined to be the place where the “last act necessary to create liability” occurred. That place thus becomes the connecting factor between the tort characterization and the jurisdiction whose law will

be applied.
