“Company Business” means the business will be conducted by the Company after the Effective Date as set out in Article [**].

“Contract” means any oral or written contract, agreement, commitment, undertaking, indenture, note, bond, mortgage, loan, instrument, lease, or license.

“Order” means any order, injunction, judgment, decree, ruling, writ, assessment or arbitration award of a governmental body.

“Organizational Document” means, for any Person: (a) the articles or certificate of formation or incorporation (as applicable) and the bylaws or similar governing document of such Person; (b) any limited liability company agreement, partnership agreement, operating agreement, shareholder agreement, voting agreement, voting trust agreement or similar document of or regarding such Person; (c) any other charter or similar document adopted or filed in connection with the formation, organization or governance of such Person; or (d) any amendment to any of the foregoing.

Including. The word “including” or any variation thereof means (unless the context of its usage otherwise requires) “including, without limitation” and shall not be construed to limit any general statement that it follows to the specific or similar items or matters immediately following it.

The Parties have participated jointly in the negotiation and drafting of this Agreement and, in the event an ambiguity or question of intent or interpretation arises, this Agreement shall be construed as jointly drafted by the Parties and no presumption or burden of proof shall arise favoring or disfavoring any Party by virtue of the authorship of any provision of this Agreement.

2. SALE AND PURCHASE OF SHARES

2.1. Sale and Purchase of Shares. Subject to the terms contained herein, on the Effective Date,

Seller agrees to sell to Buyer, and Buyer agrees to purchase from Seller, 50% of Seller’s all equity interests in the Company (the “Subject Shares”).
